Introduction

These Terms of Service (the “Terms”) govern your access to and use of Hillcrest Time Management (“Hillcrest”, “we”, “us”, or “our”) software, websites, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

Use of Service

You agree to use the platform lawfully, responsibly, and in accordance with these Terms. Content and tools are provided for personal productivity or internal team operations unless otherwise agreed in writing.

• You must be at least 16 years old or the age of digital consent in your jurisdiction.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• You may not impersonate others or misrepresent your affiliation with any person or entity.
• You may not interfere with or disrupt the integrity or performance of the Service.

Prohibited Conduct

• No redistribution, sublicensing, or resale of the Service or its content.
• No automated scraping, bulk extraction, or unauthorized data harvesting.
• No reverse engineering, decompiling, or attempting to access source code.
• No uploading of malware, spam, or content that infringes intellectual property or privacy rights.
• Reasonable use of resources; no excessive API calls or activities that degrade platform performance.
• No use of the Service in violation of applicable laws, including export control and sanctions laws.

Accounts

To use certain features, you may be required to create an account. You agree to provide accurate and complete information and keep it updated. We may suspend or terminate accounts that violate these Terms or present security risks.

Payments & Refunds

Pricing for subscriptions, seats, or add-ons is displayed clearly prior to purchase and may vary by region and currency. Unless otherwise stated, prices exclude applicable taxes, duties, and fees which you are responsible for.

• Billing: Subscriptions are billed in advance on a recurring basis (monthly or annually) until canceled.
• Auto-Renewal: Your plan renews automatically unless you cancel before the renewal date.
• Prorations: Upgrades take effect immediately and are prorated; downgrades apply at the next billing cycle.
• Refunds: Refund requests are considered within 14 days if less than 20% of included content or features were consumed.
• Chargebacks: Contact support before initiating a chargeback; unwarranted chargebacks may result in account suspension.
• Trials: Free trials convert to paid plans unless canceled before the end of the trial period.

Licenses & Intellectual Property

The Service and all related content, trademarks, and technology are owned by Hillcrest or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.

• No implied rights: Except for the limited license above, no rights are granted by implication or otherwise.
• User feedback: You grant us a royalty-free, worldwide, perpetual license to use suggestions or feedback to improve the Service.
• Third-party components: Use of third-party libraries or integrations remains subject to their respective licenses.

User Content

You retain ownership of content you upload to the Service. You grant Hillcrest a limited license to host, store, transmit, display, and process your content solely as needed to provide and improve the Service and to comply with law.

• You represent you have the necessary rights and permissions for the content you submit.
• We may remove content that violates these Terms or applicable law.
• Backup responsibility: You are responsible for maintaining appropriate backups of your content.

Privacy & Data Protection

We process personal data in accordance with our privacy practices and applicable law. We implement reasonable technical and organizational measures to protect data; however, no method of transmission or storage is fully secure.

• Subprocessors: We may use trusted vendors to support the Service, subject to appropriate safeguards.
• Cookies: We may use cookies and similar technologies to operate and enhance the Service.
• Compliance: You are responsible for your own legal compliance, including notices and consents to your end users.

Availability & Support

We strive to maintain high availability, but the Service may be temporarily unavailable for maintenance, upgrades, or due to factors beyond our control. Support is provided as described in your plan or on our website.

• Maintenance windows may be scheduled and communicated when feasible.
• We may modify or discontinue features, with reasonable notice when practicable.

Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected.

Limitation of Liability

To the maximum extent permitted by law, Hillcrest and its affiliates, officers, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or business opportunities, even if advised of the possibility of such damages. Our aggregate liability arising out of or relating to the Service shall not exceed the amounts paid by you to Hillcrest for the Service in the twelve (12) months preceding the event giving rise to liability.

Indemnification

You agree to indemnify and hold harmless Hillcrest and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if required by law. Upon termination, your right to use the Service will immediately cease. Sections intended to survive termination shall continue in effect.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. You agree to the exclusive jurisdiction and venue of the state or federal courts located in San Francisco County, California, except where prohibited by law.

Export & Compliance

You represent that you are not located in a sanctioned country and are not on any U.S. government denied-party list. You agree to comply with all applicable export control and sanctions laws in your use of the Service.

Changes to the Service or Terms

We may update these Terms from time to time. Material changes will be notified via the Service or email. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

Entire Agreement

These Terms, together with any applicable order forms or policies referenced herein, constitute the entire agreement between you and Hillcrest regarding the Service and supersede prior agreements or understandings on the subject.
